Terms of Service

1. Acceptance of Terms

By accessing or using the NexusForge protocol, website, dashboard, APIs, SDKs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and NexusForge Labs, Inc. ("NexusForge," "we," "us," or "our"). By using the Services, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or an in-app notification at least 30 days prior to taking effect. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.

2. Description of Service

NexusForge provides a Solana-native protocol for deploying, executing, and verifying autonomous AI agents on Solana mainnet-beta. The Services include, but are not limited to:

• NexusForge Protocol: A verifiable execution layer that generates SP1 zkVM proofs (Groth16 over BN254) for every agent action, verified on-chain via Solana's alt_bn128 syscalls for trustless, single-slot auditability.
• Agent Deployment & Management: Tools and APIs for defining, configuring, deploying, and monitoring autonomous agents that live at Program Derived Addresses (PDAs) on Solana and compose over Jupiter, Pyth, Switchboard, Kamino, MarginFi, Drift, Orca, Raydium, Phoenix, Solend, Squads v4, and Realms via CPI.
• Decentralized Compute Network: A distributed network of operator nodes running AMD SEV-SNP attested enclaves, co-located with Solana leader validators, that provide computational resources for agent execution and proof generation. Transactions are landed via Jito bundles through the block engine with tipped priority fees.
• Dashboard & APIs: Web-based interfaces and programmatic endpoints for managing agents, monitoring execution, accessing proofs, and interacting with the protocol over Helius and Triton RPC.
• State Compression: Light Protocol ZK Compression is used for cheap on-chain commitments of agent state, proof digests, and verification attestations.

The Services are provided on an evolving basis. We may add, modify, or discontinue features at our discretion, with reasonable notice to affected users where practicable.

3. User Accounts & API Keys

To access certain features of the Services, you may be required to create an account by connecting a compatible cryptocurrency wallet or registering via our dashboard. You are responsible for:

• Maintaining the security and confidentiality of your wallet private keys, account credentials, and API keys.
• All activities that occur under your account or through your API keys, whether authorized or unauthorized.
• Immediately notifying NexusForge of any suspected unauthorized use of your account or API keys at security@nexusforge.io.

API keys are issued for programmatic access to the Services. You must not share, publish, or embed API keys in client-side code, public repositories, or any location accessible to unauthorized parties. NexusForge reserves the right to revoke API keys that are compromised, misused, or associated with violations of these Terms.

We may impose rate limits, usage quotas, or other restrictions on API usage to ensure the integrity and performance of the Services.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services for any illegal activity, including but not limited to money laundering, terrorist financing, sanctions evasion, fraud, or the facilitation of any criminal enterprise.
• Attempt to circumvent, disable, or interfere with the protocol's proof generation, verification mechanisms, or cryptographic integrity guarantees.
• Deploy agents that manipulate markets, front-run transactions, engage in wash trading, or exploit vulnerabilities in other protocols or smart contracts.
• Submit false, misleading, or fraudulent agent manifests, execution data, or proof attestations.
• Attempt to gain unauthorized access to other users' accounts, agents, compute resources, or data.
• Interfere with or disrupt the Services, the decentralized compute network, or any servers, systems, or networks connected to the Services.
• Reverse-engineer, decompile, or disassemble any proprietary components of the Services, except as expressly permitted by applicable law.
• Use the Services to develop competing products or services based on proprietary NexusForge technology.

NexusForge reserves the right to investigate and take appropriate action against any violation of this section, including suspending or terminating access, reporting to law enforcement, and pursuing legal remedies.

5. Intellectual Property

The NexusForge protocol specification, source code (where not open-source), documentation, trademarks, logos, website content, and all related intellectual property are owned by NexusForge Labs, Inc. or its licensors and are protected by applicable intellectual property laws.

Certain components of the NexusForge protocol are released under open-source licenses. Your use of open-source components is governed by the applicable open-source license terms, which are available in the relevant source code repositories.

You retain ownership of any agent configurations, manifests, custom logic, and data that you create and submit to the Services. By deploying agents through the protocol, you grant NexusForge a non-exclusive, worldwide, royalty-free license to execute your agent configurations solely for the purpose of providing the Services.

Execution proofs generated by the protocol are public by design and posted on-chain. You acknowledge that these proofs are permanently and publicly accessible.

6. Fees & Payment

Use of the NexusForge protocol involves the following costs:

• Compute Costs: Agent execution consumes compute resources from the SEV-SNP operator network. Fees are denominated in $FORGE (SPL Token-2022 with transfer-fee hook) and vary based on execution complexity, proof generation requirements, and network demand.
• Priority Fees: On-chain transactions, including proof submissions and Jito bundle inclusion, incur Solana priority fees (lamports) and Jito tips. These fees are paid by you directly and are not controlled by NexusForge.
• Staking Requirements: Certain protocol features, including operator node operation (SEV-SNP attested operators) and premium API access, require staking $FORGE. Staking terms, lock-up periods, and slashing conditions are defined in the protocol's on-chain governance parameters, enforced via Realms (SPL Governance) and Squads v4 multisig.
• Subscription Plans: Optional subscription tiers (Developer, Growth, Enterprise) provide additional features, higher rate limits, and dedicated support. Subscription fees are billed monthly or annually as specified at the time of purchase.

All fees are non-refundable except as required by applicable law. We reserve the right to modify fee structures with at least 30 days' prior notice. Changes to on-chain protocol fees are subject to Realms-based governance approval.

7. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You acknowledge and accept the following risks:

• Protocol Risks: The NexusForge protocol is experimental software interacting with Solana mainnet-beta. Despite rigorous testing and auditing, bugs, vulnerabilities, or unexpected behaviors may occur that result in the loss of funds, data, or access.
• On-chain Program Risks: Solana programs, once their upgrade authority is revoked, are effectively immutable. While our programs have been audited by Trail of Bits, OtterSec, and Neodyme, no audit can guarantee the absence of all vulnerabilities. Transactions finalized on Solana are irreversible.
• Market & Token Risks: The value of $FORGE and other digital assets is inherently volatile and may fluctuate significantly. NexusForge makes no representations regarding the future value of any digital asset.
• Network Risks: Solana mainnet-beta may experience congestion, skipped slots, leader schedule instability, or consensus issues that affect the Services. Bridged operations via Wormhole carry additional risk due to relayer and guardian dependencies.
• Third-Party Risks: The Services interact with third-party Solana programs (Jupiter, Pyth, Switchboard, Kamino, MarginFi, Drift, Orca, Raydium, Phoenix, Solend, Squads v4, Realms, Streamflow, Wormhole), RPC providers (Helius, Triton), and the Jito block engine. We are not responsible for the availability, security, or performance of third-party services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEXUSFORGE LABS, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, DIGITAL ASSETS, USE, OR GOODWILL, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO NEXUSFORGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the federal or state courts located in Wilmington, Delaware. You consent to the personal jurisdiction and venue of such courts and waive any objections based on inconvenient forum.

Notwithstanding the foregoing, NexusForge may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
